Dan Warmenhoven, Director at Palo Alto Networks, will speak with Diane Holt Frankle, Senior Counsel, Arnold & Porter Kaye Scholer LLP about the role of the Board in M&A Transactions.
The discussion will focus on Dan’s wide ranging experience as both a CEO and director involved in M&A transactions on both the buy-side and the sell-side and the ways in which the Board can provide effective oversight and add value in the M&A process.

Dan is the former executive chairman (2009 – 2014) and CEO (1994 – 2009) of NetApp. Under Dan’s leadership, NetApp grew to become a multibillion-dollar company and a recognized market leader in networked storage, a concept the company pioneered. Dan led the company’s initial public offering in November 1995.
In August 2009, Dan received the Morgan Stanley Leadership Award for Global Commerce. He is a director of Bechtel Group, Big Switch Networks, Cohesity, Palo Alto Networks, Avi Networks, and Theranos. Dan is also on the board of the Tech Museum of Innovation as well as a trustee of Bellarmine College Preparatory, both in San Jose, California. In June 2007, Dan received an honorary degree from Santa Clara University for his dedication to global business and technology leadership and in 2006 was named one of the “50 Most Powerful People in Networking” by Network World. In 2004, he won the prestigious “National Ernst & Young Entrepreneur of the Year” award, and in 2001 BusinessWeek named Dan one of its “Top 25 Managers” for the year.
Previously, Dan served as chairman, president, and CEO of Network Equipment Technologies (N.E.T.), a telecommunications manufacturer. He is a veteran of Hewlett-Packard Co. (HP), where he held senior management positions, including general manager of the Information Networks group. Prior to working at HP, Dan was employed for 13 years at IBM Corporation.
Dan holds a Bachelor of Science degree in electrical engineering, with honors, from Princeton University.
Diane Holt Frankle

Diane Holt Frankle is a recognized M&A dealmaker, an experienced business risk strategist, and a trusted counselor to boards, committees and management of public and private companies. Her expertise includes M&A, crisis management, governance best practices, activist defense, and compensation issues. Her reputation as a highly regarded board resource has earned her numerous awards, including Best Lawyers’ “Lawyer of the Year” for San Francisco (2015) and San Jose Region (2017) for Corporate Governance Law, and the Above the Law’s “2016 Go To Governance Lawyer” (2016).
Her career in M&A includes more than 100 successful deals, valued at more than $12 billion, with a wide variety of technology, life sciences, health care and education companies. She also provides boards and management governance advice, including sensitive “bet your company” issues such as crisis management, conflicts of interest, fiduciary duties, shareholder engagement, and board refreshment.
Diane is currently Senior Counsel in the Silicon Valley office of Arnold & Porter Kaye Scholer LLP. She was recruited by Kaye Scholer as a partner to build their corporate group in Silicon Valley. She also served as Chair of the DLA Piper Corporate Governance and M&A Groups, and founded and co-chaired the Gray Cary Ware & Freidenrich M&A and Corporate Governance Groups. She has chaired multiple American Bar Association committees, subcommittees and task forces and currently co-chairs the Joint Task Force on Governance Issues in Business Combination. She is a Senior Fellow of the American Leadership Forum, Silicon Valley, and a Fellow in the American College of Governance Counsel.
